POSITION SUMMARY:

The VP Compliance Counsel will provide comprehensive regulatory, operational, and compliance oversight for Silver Hill Capital, a wholly owned subsidiary of Bayview. This role supports the organization’s commercial mortgage origination and servicing, ensuring adherence to applicable laws, regulatory requirements, and internal policies. Silver Hill Capital encompasses commercial loan servicing, non-agency/DSCR/niche loan origination, and small balance commercial loan origination functions.

This role will focus on quality assurance, oversight activities, and third-party risk reviews, helping ensure compliance with federal and state laws, supporting licensing efforts, responding to audits and exams, and providing practical compliance guidance for daily operations. Experience in national commercial mortgage origination and servicing is required, with a preference for candidates familiar with the non-QM space.

RESPONSIBILITIES:

• Provide operational and regulatory compliance guidance to mortgage origination and servicing teams.
• Support the compliance management system and corporate governance.
• Manage licensing compliance, including applications, renewals, and filings.
• Support compliance related to non-QM, non-agency, DSCR, and niche loan products, including reviewing product structures and practices.
• Assist with quality control reviews, oversight, and third-party risk assessments.
• Collaborate with business leaders to develop compliant operational solutions.
• Coordinate responses to regulatory examinations, audits, and reviews.
• Develop and maintain compliance policies, procedures, controls, and documentation.
• Monitor laws and implement compliance across operations.
• Support legal and operational matters, including contracts, change management, and vendor management.
• Work with stakeholders to integrate legal and compliance into strategic initiatives.
• Perform other duties as assigned.

QUALIFICATIONS:

• Juris Doctor (JD) with 8-10 years’ experience in legal or compliance roles within commercial mortgage or financial services.
• Experience in commercial mortgage origination and servicing, preferably with non-QM or niche products.
• Hands-on licensing compliance experience.
• Strong understanding of relevant regulations.
• Ability to support business operations with legal and compliance advice.

LOCATION & COMPENSATION:

• Remote or in-office in Coral Gables, FL, Ft. Lauderdale, FL, or New York, NY.
